Declaration/Terms & Conditions

The following terms and conditions ("terms") govern the contract research services provided by HistoSpatia. By agreeing to contract work, providing specimens, and other reagents, you (“client”) agree to these terms.

1. Statement of work

• Histopathology contract research work: The client agrees to discuss the research work performed at HistoSpatia.

• HistoSpatia will provide a statement of work (SOW) with the tentative budget.

• Work will start only when the SOW is executed by both parties.

1. Definitions

• Client research materials- any antibody, tissue specimen, data, and relevant information related to the contract research work

• Deliverables- results, summary reports, images, and quantitative analysis data agreed to in the SOW

• Confidential Information- any information provided by the client that is not in the public domain, will remain confidential

1. Use of HistoSpatia Services

• The services are strictly for research purposes, and not for clinical diagnostics

• The reagents and specimens provided by the client should not infringe on any intellectual property

• The client must have full authority to use the reagents. This should be discussed before the execution of the SOW

• No protected health information or personal details should be shared without written consent and legal authorization

1. Confidentiality

• The information provided by the client will remain confidential with HistoSpatia and will only be shared with employees, contractors, and service providers under a confidentiality agreement

• The client will also maintain confidentiality about the pricing and methodologies

• Both HistoSpatia and the client can disclose the information to a third party only when agreed upon specifically in the SOW

1. Workflow

• The client will be responsible for ensuring they have the rights and approvals to use the reagents and specimens provided for the study

• Packaging and shipment will be the responsibility of the client. Proper shipment, including maintaining the required temperature conditions, will be ensured by the client and any damage of reagents and specimen during shipment will not be the responsibility of HistoSpatia

• Other terms and conditions of storage and disposal of the client’s reagents and specimens will be specified in the SOW

HistoSpatia takes no intellectual property stake in its clients’ companies.
